Shoreditch Map Online Terms of Use

Welcome to www.shoreditchmap.co.uk (the “Site”).  This Site and the paper based version of the Shoreditch Map are offered to you (“Your”/”You”) by ST Commercial Limited (“We”/“Us”/“Our”).  ST Commercial Limited is a company registered in England and Wales with registration number 05416572 and with registered office at 27 Provost Street, Shoreditch, London, N1 7NH.

These Terms of Use apply to Your use of the Site whether You choose to register as a Member of the Site or not.  Please read these Terms of Use carefully before using the Site. If You do not agree to these Terms of Use, then You are not permitted to use this Site.  By continuing to browse and use this Site You agree to be bound by these Terms of Use.

We reserve the right to change or update these Terms of Use from time to time.  Any revisions to these Terms of Use will be effective from the moment that they are posted to the Site and so we recommend that You re-read these Terms of Use on a regular basis.

1.    Use of the Site

1.1    If You are a business and wish to publish details of or advertise Your business on the Site, please contact us at register@shoreditchmap.co.uk for more information.

1.2    You are permitted to browse the Site and use many of its features without registering as a Member of the Site, but Your access to some of the features of the Site may be restricted.  These Terms of Use apply equally to Your use of this Site even if you are not registered as a Member.

1.3    In order to be able to use all the features of the Site you will need to register as a Member.  This can be done by registering your details with us using the on-line forms provided.  At present, there is no fee payable to become a member of the Site, but we reserve the right to introduce membership fees at some point in the future.

1.4    We reserve the right to refuse to accept a registration from any person for any reason in our absolute discretion.

2.    Age of Consent

2.1    You must be 18 years or over to register as a Member.  If We discover, or have any reason to suspect, that You are not over 18 years of age, then We reserve Our right to suspend or terminate Your Membership to this Site immediately and without notice.

3.    Password Member Name and Security

3.1    Upon registration as a Member You will be asked to select a Password and Member Name that You can use to access Your Member Account and/or Profile and to log on to the Members’ area of the Site.  If no one else has selected that Password and/or Member Name we will send you an email to the address You submitted during registration process, confirming Your Password and Member Name together with any other steps that You may need to make to activate Your account.

3.2    You are responsible for maintaining the confidentiality of Your Password and Member Name and are responsible for all activities that occur under them.  Other than the Password and User Name, we do not have the means to check the identity of people using the Members’ area of the Site and so we will be entitled to assume that any person logging into the Site using Your Password and Member Name is either You or someone doing so with Your permission.  You will be responsible and liable for any actions of any person logging into the Site using Your Password and Member Name.

3.3    You must notify Us immediately if you become aware of any unauthorised use of Your Password or Member Name or any other breach of security of which You become aware.

4.    Your warranties

4.1    You warrant, represent and undertake that:

(a)    You are over 18 years of age;

(b)    all information and details provided by You to Us (including on registration as a Member) are true, accurate and up to date in all respects and at all times (see Our Privacy Policy for details on how to update Your personal data); and

(c)    You will comply with these Terms of Use including, without limitation, the restrictions relating to acceptable use set out below.

4.2    You will indemnify and hold Us harmless from any claim or damages (including any legal fees in relation to same) made by a third party in respect of any matter in relation to or arising from Your use of the Site arising from any breach of these Terms of Use by You or Your violation of any law or the rights of any third party.

5.    Acceptable Use

5.1    In using the Site You agree that You will not:

(a)    say or do anything that would cause annoyance, inconvenience, harassment or needless anxiety to others; use foul, threatening or offensive language including, without limitation, racist, sexist, ageist, homophobic or sexually explicit language;

(b)    make insulting remarks to or about other Members (“flaming”);

(c)    advertise or promote third party or Your own products or services by way of the distribution of ‘spam’ mail;

(d)    jump in and out of any Site forum rooms (“frogging”);

(e)    distribute illegal, copyright infringing, indecent or offensive material or any messages or content that may incite disorder or encourage illegal activities or that causes or may cause harm to minors;

(f)    submit any material which is prohibited by the Data Protection Act 1998 or any other applicable data protection or privacy legislation;

(g)    impersonate another person or Member;

(h)    transfer, upload or attempt to transfer or upload files that contain viruses, trojans or other harmful programs;

(i)    use the Site to conduct any fraudulent activity including any “pyramid scheme”, “ponzi scheme” or “chain letter”;

(j)    access or attempt to access the accounts of other Members or to penetrate or attempt to penetrate the Site security measures; or

(k)    have more than one Member Account at any time.

5.2    We may take any or all of the following action at Our discretion:

(a)    remove any content, submission or profile (including photographs/Videos/QTVR) or other material anywhere on the Site that, in Our sole discretion, we consider to be inappropriate or We suspect to be illegal, may subject Us to liability or which may violate these Terms of Use or where required to do so by law;

(b)    disable or remove any Member account, reviews, or other material associated with it that, in Our sole discretion, we consider to be inappropriate or We suspect to be illegal, may subject Us to liability or which may violate these Terms of Use or where required to do so by law;

(c)    suspend or terminate a Member’s access to the Members’ area of the Site or a Member’s Account without notice at any time;

(d)    inform the appropriate authorities and provide them with information regarding any suspected illegal activity; or

(e)    bring legal action against a Member or other user of the Site in relation to any breach of these Terms of Use or any illegal or suspected illegal activity.
We will determine what action is appropriate to be taken against a Member on a case by case basis.

5.3    We support the free flow of information and ideas over the Internet and do not actively monitor use of the Site, including the Members’ area under normal circumstances. We seek to balance this aim with Our obligations to other Members and at law however.  We do therefore review all profiles entered onto the Site by Members and we may from time to time review any user generated content where certain keywords are triggered in order to ensure compliance with these terms, and to comply with or investigate any enforcement agency or police request or complaints.  You acknowledge that We may be required by law or regulation to access, monitor, store or copy material sent by or to Members without further notice to You.

6.    Cancellation

6.1    Your Membership services commence immediately when You submit Your registration, or subscription.  This means that, subject always to Your right to terminate as set out below, You will not be able to cancel the services after this point.

7.    Termination of Membership

7.1    Subject to paragraph 9.2 below, You can terminate Your Membership at any time by notifying Us at support@shoreditchmap.co.uk

7.2    You may terminate Your membership or any subscription to an individual paid for service on 30 days notice at any time by emailing us at support@shoreditchmap.co.uk .  Please note that any Member subscription paid by You is subject to the minimum contractual period of one month.  This means that, where You choose to terminate Your Member subscription before the expiry of this period, You will not receive any refund in respect of this minimum contractual period or any notice period.

7.3    No refunds will be paid by Us where Your Membership is terminated by Us as a consequence of Your breach of these Membership Terms and Conditions.  In all other circumstances, we will refund any subscription fees that you have paid in advance in respect of any period after the date of termination of Your membership.

8.    Copyright and Other Intellectual Property Rights

8.1    You may view, download and print any materials and information made available to You through the Site subject to the following conditions:

(a)    the material and information may only be used by You in connection with your business;

(b)    the material and information shall not be reproduced or included in any other work or publication in any medium;

(c)    the material and information may not be modified or altered in any way;

(d)    the material and information may not be distributed or sold to any third party;

(e)    You may not remove any copyright or other proprietary notices contained in the material or the information.

8.2    Save as set expressly permitted in these Terms of Use, Your use of the Site grants no rights to You in relation to copyright, trade marks or other of Our intellectual property rights or the intellectual property rights of third parties in any material or information contained within or made available to you on the Site.

8.3    You may not, without limitation, copy, reproduce, republish, download, post, broadcast, record, transmit, commercially exploit, communicate to the public, or otherwise use the content included in or provided via the Site except for Your own personal use.  Subject to the above, You may download insubstantial excerpts of this content to Your hard disk for the purpose of viewing it provided that no more than one copy of any information is made.

8.4    For the avoidance of doubt, these Terms of Use are not intended to prevent You recording in manual form any individual item of information, or disclosing any individual item of information, free of charge, to friends or relations for non-commercial purposes provided that You take all reasonable steps to ensure that any person to whom You may disclose that information complies with these Terms of Use.

9.    Limitation of Liability

9.1    You acknowledge that due to the fact that many technical aspects of the Site and the content provided herein is supplied by or otherwise dependent on third parties, We do not give any warranty as to the accuracy, suitability, reliability, availability, completeness, performance, satisfactory quality, fitness for a particular purpose, or freedom from viruses, or other harmful programs of the content contained in or accessed through this Site.  In addition, We do not warrant that the Site will be available uninterrupted and in a fully operating condition nor that the information on and provided via the Site will be free from errors or omissions.

9.2    Without prejudice to clause 9.1 above, all information, content and services on this Site are provided on an ‘as is’ and ‘as available’ basis.  To the fullest extent permitted by law, We do not make and hereby exclude any representation or warranty in respect of the Site or its content, including, without limitation information provided by or regarding other Members.  We cannot vet all Member profiles and entries to ensure that they are appropriate or correct. Any decision made or action taken by You on the basis of information provided on or via the Site is at Your sole discretion and risk.

9.3    Access to this Site and its contents may be suspended temporarily and without notice in the case of system failure, necessary maintenance or repair or for reasons beyond Our control.

9.4    To the fullest extent permitted by applicable law, We will not be liable for any damages, including indirect or consequential losses and whether in contract, tort (including negligence) or otherwise, arising in connection with any use by You or other Members of the Site, its services that is in contravention of these Membership Terms and Conditions or is not directly attributable to Our negligence. Where We are liable for direct loss this will, to the fullest extent permitted by applicable law, be limited to a maximum of the total price of the Member Subscription paid to Us by You in the 6 months prior to the claim.

9.5    Nothing in these Terms of Use shall exclude or limit Our liability for death or personal injury caused by Our negligence.

10.    Security and Privacy

10.1    Your security and those of all Our Members is very important to Us.  We will only keep and use any data collected during the registration process for the purposes set out in our privacy policy.  Please read Our Privacy Policy for important information regarding the use of Your personal data and Your rights in relation to this.

11.    General

11.1    We shall not be liable for any failure for any suspension, or termination of access to the Site or any content arising out of a force majeure event.  A force majeure event is any event outside our reasonable control and shall include, without limitation, failure of infrastructure, government intervention, wars, civil commotion, hijacking, fire, flood, accident, storm, strikes, lockouts, terrorist attacks, or industrial action affecting Us or Our suppliers.

11.2    If any of these Terms of Use are determined to be illegal, invalid or otherwise unenforceable by reason of law then to the extent and within the jurisdiction in which that term is illegal, invalid or unenforceable, it shall be severed and deleted from these terms and the remaining terms shall survive, remain in full force and effect and continue to be binding and enforceable.

11.3    These Terms of Use shall be governed by and interpreted in accordance with the laws of England.  Disputes arising in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
